1. Acceptance of Terms

All services are subject to a formal engagement letter that must be executed before work begins. The engagement letter will specify the scope of services, fees, deliverables, and mutual responsibilities.
3. Engagement Process and Service Agreement
Before we begin any professional services, both parties must review and execute a formal engagement letter. This letter serves as our official service agreement and outlines:

4. Pricing and Payment Terms
Our pricing is customized based on the complexity and scope of each engagement. Payment is structured in three stages to ensure fairness and accountability:
Due before work begins
To confirm the engagement and reserve dedicated project time
Due at midpoint of engagement
Payable once substantial progress has been made
Due upon completion
Payable when final deliverables are provided
- All fees will be detailed in the engagement letter before services begin.
- Payment is due within the timeframes specified in the engagement letter.
- Late payments may result in suspension of services and may incur late fees as outlined in the engagement letter.
- We accept payment via bank transfer, check, or other methods as agreed upon in writing.
5. Client Responsibilities
To ensure the successful delivery of our services, clients agree to:
- Provide accurate, complete, and timely information and documentation
- Respond promptly to requests for information or clarification
- Review and approve deliverables within reasonable timeframes
- Notify us immediately of any changes in circumstances that may affect the engagement
- Maintain confidentiality of login credentials for any secure portals provided
- Comply with all applicable laws and regulations related to financial reporting and tax filing
Failure to fulfill these responsibilities may result in delays, additional fees, or our inability to complete the engagement as originally agreed.
6. Professional Standards and Disclaimer
Firmament Accounting & Advisory adheres to professional accounting standards and practices recognized in the industry. We are committed to providing high-quality services with care, competence, and diligence.
However, we do not guarantee specific outcomes, tax savings, audit protection, or other results. Tax laws and regulations are complex and subject to interpretation and change. While we strive for accuracy and optimization, the ultimate responsibility for tax positions and financial decisions rests with the client.
Our services are advisory in nature. We provide professional guidance and recommendations, but all final decisions regarding business operations, tax strategies, and financial matters remain with the client.
7. Limitation of Liability
Firmament Accounting & Advisory is a limited liability company (LLC). Our liability is limited to the extent permitted by law and as specified in individual engagement letters.
In no event shall the Company, its owners, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services or website, even if we have been advised of the possibility of such damages.
Our maximum liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific engagement that gave rise to the claim.
This limitation of liability applies to all claims, whether based on contract, tort, negligence, strict liability, or any other legal theory.
8. Intellectual Property
All content on the Firmament Accounting & Advisory website, including text, graphics, logos, images, and software, is the property of the Company and is protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from our website without our prior written permission.
Work products created specifically for a client pursuant to an engagement letter will be provided to the client upon full payment, subject to the terms of the engagement letter. However, our methodologies, templates, and proprietary processes remain the intellectual property of Firmament Accounting & Advisory.
9. Confidentiality
We are committed to maintaining the confidentiality of all client information in accordance with professional standards and applicable laws. Client information will not be disclosed to third parties except:

- With the client's express written consent
- As required by law, regulation, or legal process

10. Termination of Services
Either party may terminate an engagement as outlined in the engagement letter. Termination terms, including notice requirements and fees for work completed, will be specified in each engagement letter.
Upon termination, the client remains responsible for payment of all fees for services rendered up to the date of termination.
We reserve the right to terminate services immediately if the client fails to fulfill their responsibilities, engages in fraudulent activity, or if continuing the engagement would violate professional standards or legal requirements.
11. Dispute Resolution and Governing Law
These Terms and Conditions and any engagement under them shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
In the event of any dispute arising from these Terms or any engagement, the parties agree to first attempt resolution through good faith negotiation and mediation.
If mediation is unsuccessful, disputes shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association.
Nothing in this section prevents either party from seeking equitable relief in court when necessary to protect confidential information or intellectual property rights.
12. Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date.
Your continued use of our website or services after changes are posted constitutes acceptance of the modified terms.
For active engagements, material changes to terms will be communicated to clients in writing, and existing engagement letters will remain governed by the terms in effect at the time they were executed unless otherwise agreed in writing.
